These Terms of Service apply to your use of www.embroida.com.au and to purchases made from Embroida.

By accessing our website, placing an order or using our services, you agree to these Terms of Service together with our Privacy Policy, Shipping Policy and Return & Refund Policy.

Nothing in these Terms is intended to exclude, restrict or modify any rights you may have under the Australian Consumer Law that cannot legally be excluded.

About Embroida

This website is operated by Embroida. Throughout these Terms, the words “we”, “us” and “our” refer to Embroida.

Our online store is hosted by Shopify, which provides the ecommerce platform used to offer our products and services.

Using Our Website

You may use our website only for lawful purposes.

You must not use the website in a way that could damage, disrupt or interfere with its operation, attempt to gain unauthorised access to our systems, introduce malicious software or use our content in a way that infringes the rights of Embroida or another person.

We may restrict or suspend access to the website where reasonably necessary for security, maintenance, suspected misuse or legal reasons.

Products and Personalisation

Many Embroida products are personalised, embroidered or custom-made specifically for each customer.

It is your responsibility to carefully check all information submitted with your order, including names, spelling, dates, sizes, colours, fonts, thread colours, placement selections, photographs, logos and other personalisation details.

Unless the error was caused by Embroida, we are generally unable to remake, exchange or refund an item because incorrect personalisation information was supplied by the customer or because the customer changes their mind after production has commenced.

This does not affect your rights under the Australian Consumer Law if a product is faulty, does not match its description, is not of acceptable quality or otherwise fails to meet a consumer guarantee.

Product Images and Colours

We make reasonable efforts to display our products, colours and embroidery examples as accurately as possible.

Colours may appear slightly different depending on screen settings, lighting, photography and differences between production batches.

Minor variations may also occur in embroidery placement, thread appearance, fabric texture and handmade or personalised items.

These variations do not affect any rights you may have where a product materially differs from its description or fails to meet a consumer guarantee.

Orders

Submitting an order through our website is an offer to purchase the selected products.

Your order is accepted once we confirm and begin processing it. We reserve the right to decline or cancel an order where reasonably necessary, including where a product is unavailable, there is an obvious pricing or website error, payment cannot be authorised, we reasonably suspect fraudulent activity or we are unable to fulfil the order as requested.

If we cancel an order after payment has been taken, we will refund the applicable amount to the original payment method.

Order Changes and Cancellations

If you need to change or cancel an order, please contact us as soon as possible.

Because many Embroida products are personalised or made to order, changes or cancellations may not be possible once artwork, embroidery, printing or production has commenced.

Where custom artwork has already been completed for a Line Drawing Embroidery order, the applicable artwork fee may be retained as set out in our Return & Refund Policy.

Nothing in this section limits any rights you have under Australian Consumer Law.

Customer-Supplied Names, Photos, Drawings and Artwork

When you provide a photograph, drawing, logo, design, text or other material for personalisation, you confirm that you have the right or permission to provide that material to Embroida and to have it reproduced for your order.

You are responsible for ensuring that customer-supplied material does not infringe another person's copyright, trademark, privacy or other legal rights.

We may decline to reproduce material where we reasonably believe that doing so may be unlawful, infringe another person's rights or be inappropriate for our services.

Custom Logos and Business Orders

For embroidery or printing involving business logos or other branded artwork, the customer is responsible for ensuring that they have permission to use the supplied logo or design.

Digitising, artwork preparation or setup fees may apply. Where applicable, these fees will be disclosed before or during ordering.

Digitising and artwork preparation fees relate to the work required to prepare supplied artwork for production and may not be refundable once that work has been completed, except where required by law.

Pricing

All prices displayed on our website are in Australian dollars unless otherwise stated.

We may change product prices from time to time. Price changes will not affect orders already accepted by us unless there has been an obvious pricing or technical error.

Where a product has been incorrectly priced due to an obvious error, we may contact you before fulfilling the order and give you the option to proceed at the correct price or cancel the affected product for a refund.

Any shipping charges, artwork fees, customisation charges or other applicable costs will be displayed before checkout or otherwise communicated to you before you agree to pay them.

Payment

Payment must be made using one of the payment methods available through our website.

Payment information is processed through third-party payment providers. Embroida does not generally receive or store your full payment card information.

We may delay processing an order until payment has been successfully authorised.

Production and Delivery

Production times shown on our website are estimates and may vary depending on the product, level of personalisation, order volume and availability of materials.

Shipping time is separate from production time.

Please refer to our Shipping Policy for information about dispatch, delivery estimates, tracking and delivery issues.

Returns, Refunds and Consumer Guarantees

Returns, exchanges and refunds are handled in accordance with our Return & Refund Policy and Australian Consumer Law.

Our goods come with consumer guarantees that cannot be excluded under Australian Consumer Law.

Where a product has a major failure, you may be entitled to choose a refund or replacement and may also be entitled to compensation for reasonably foreseeable loss or damage.

Where a failure is minor, we may be entitled to choose an appropriate remedy, such as repairing or replacing the product, within a reasonable time.

Nothing in these Terms limits or excludes any consumer guarantee, right or remedy that cannot legally be limited or excluded.

Intellectual Property

Unless otherwise stated, the content on the Embroida website, including our branding, photographs, graphics, written content, product descriptions and website design elements, is owned by or licensed to Embroida.

You may view and use the website for personal shopping purposes.

You must not reproduce, copy, commercially use, distribute or modify Embroida-owned content without our permission, except where permitted by law.

Customer-supplied photographs, logos and artwork remain the property of their respective owners.

Reviews, Photos and Other Content You Submit

If you submit a review, testimonial, photograph or other content to Embroida, you confirm that you have the right to submit that content.

We will not publish customer photographs or other identifying content for promotional purposes without the permission required by law or any consent we have requested from you.

You must not submit content that is unlawful, defamatory, threatening, deliberately misleading or infringes another person's intellectual property or privacy rights.

Third-Party Services and Links

Our website may include services, apps, payment providers or links operated by third parties.

Third-party services are governed by their own terms and privacy policies.

Embroida is not responsible for the operation or content of independent third-party websites, except to the extent we remain legally responsible for services supplied to you.

Website Information and Errors

We make reasonable efforts to ensure information on our website is accurate and current.

Occasionally, information may contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, availability or other information.

We may correct these errors when identified.

Nothing in this section limits your rights where you relied on false or misleading information or where Australian Consumer Law otherwise applies.

Limitation of Liability

To the maximum extent permitted by law, Embroida is not responsible for loss that is not reasonably foreseeable or that results from circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising under the Australian Consumer Law.

Indemnity

You are responsible for loss or claims reasonably arising from your unlawful use of our website, your infringement of another person's rights, or customer-supplied content that you did not have permission to use.

This provision does not require you to indemnify Embroida for loss caused by our own negligence, unlawful conduct or breach of these Terms.

Privacy

Our collection, use and handling of personal information is explained in our Privacy Policy.

Changes to These Terms

We may update these Terms from time to time to reflect changes to our products, services, business practices or legal obligations.

Updated Terms will be published on our website with a revised “Last updated” date.

Changes will apply from the date they are published and will not retrospectively change the terms applying to orders already accepted unless required by law.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be removed or limited to the extent necessary and the remaining provisions will continue to apply.

Governing Law

These Terms are governed by the laws of New South Wales, Australia.

Nothing in this section limits any rights you may have to bring a claim in another jurisdiction where applicable law gives you that right.
